Gotlas Partner Terms of Service

These Terms govern access to and use of the Gotlas platform by professional partners (transfers, excursions, and activities). They are aligned with common contractual standards used by international travel marketplaces.
1. Scope
These Terms apply to any business or professional that publishes, sells, or operates offers through Gotlas.
By using the platform, you confirm that you have authority to bind your organization and accept these Terms.
2. Partner account and verification
You must provide accurate, current, and complete information during signup and keep such information updated throughout the relationship.
Gotlas may request verification documents, limit functionality, or suspend access when identity, compliance, or account security cannot be reasonably validated.
3. Published offers and service quality
The partner is solely responsible for offer content, including descriptions, inclusions/exclusions, entry conditions, languages, restrictions, safety, and operational requirements.
Each offer must comply with applicable laws, local authorizations, safety standards, and traveler information obligations.
4. Pricing, promotions, and availability
Published prices must be clear and compliant with applicable rules. Partners must keep availability accurate and avoid pricing inconsistencies.
Pricing rules (base price, slot overrides, promotions) are applied according to active configuration and platform business protections.
5. Bookings and operational delivery
Partners must honor confirmed bookings, deliver services with due care, and maintain professional customer communication.
Cancellations, modifications, no-shows, and support requests are handled under applicable policies and operational commitments set on the platform.
6. Compliance and prohibited practices
Prohibited practices include fraud, misleading content, price manipulation, platform circumvention, abusive data use, and any unlawful conduct.
Gotlas may perform checks, request supporting evidence, and apply restrictions or suspensions where non-compliance is identified.
7. Intellectual property and license
You retain rights to your content but grant Gotlas a non-exclusive license to host, display, distribute, and promote offers on authorized channels.
You warrant that you hold the required rights for published content and will indemnify Gotlas against third-party IP claims related to your content.
8. Suspension and termination
Gotlas may suspend or terminate an account in case of breach, security risk, fraud, or legal requirement.
Partners may request account closure, subject to ongoing operations, contractual obligations, and legal data retention requirements.
9. Liability
Each party is responsible for its own obligations. Unless mandatory law provides otherwise, Gotlas is not liable for indirect or consequential damages.
Where liability applies, Gotlas total liability is limited to the amounts due or paid for services during the relevant contractual reference period.
10. General provisions
Gotlas may update these Terms to reflect service evolution, legal requirements, or operational practices, with reasonable prior notice.
The specific commercial agreement between the parties prevails in case of conflicting clauses. Applicable law and jurisdiction are determined by that agreement and mandatory rules.
